Terms & Conditions
Effective Date: July 9, 2026
These Terms and Conditions (“Agreement”) govern all products and services provided by Connect Media Solutions, LLC (“CMS,” “we,” “our,” or “us”). By requesting services, signing an estimate, approving a proposal, submitting payment, or using our services, the customer (“Customer,” “Client,” or “You”) agrees to these Terms and Conditions.
1. General Terms
These Terms apply to all services offered by Connect Media Solutions, LLC, including but not limited to:
Managed IT Services
Remote & On-Site Technical Support
Audio Visual Equipment Rentals
Audio Visual Installations
Managed Audio Visual Services
Website Hosting
Website Design
Domain Registration
Cloud Services
Email Hosting
Consulting Services
Equipment Sales
Additional agreements may accompany specific projects. If another signed agreement conflicts with these Terms, the signed agreement will take precedence.
2. Estimates & Quotes
All estimates are valid for thirty (30) days unless otherwise stated.
Prices are based on the information available at the time the estimate is prepared.
Final invoices may differ if:
Additional work is requested
Hidden conditions are discovered
Customer changes the project scope
Material costs increase
Additional labor becomes necessary
The Customer will be notified before significant additional charges are incurred whenever reasonably possible.
3. Payment Terms
Unless otherwise agreed in writing, all invoices issued by Connect Media Solutions, LLC are due upon receipt.
Service Calls
Payment for one-time service calls, repairs, installations, and labor is due immediately upon completion of the service unless prior billing arrangements have been approved in writing.
Managed Services
Managed Service invoices are billed in advance and are due on the invoice due date. Failure to pay by the due date may result in suspension of services until the account is brought current.
Audio Visual Rentals
Unless otherwise stated in the rental agreement:
- Rental fees are due before or at the time equipment is picked up or delivered.
- Any additional rental time, damaged equipment, missing equipment, cleaning fees, or replacement charges will be invoiced separately and are due upon receipt.
Website Hosting & Cloud Services
Hosting, domain management, email hosting, and cloud services are billed in advance. Accounts not paid by the due date may be suspended or terminated in accordance with these Terms.
Deposits
CMS may require deposits for:
Special order equipment
Large installations
Equipment rentals
Website development
Custom projects
Deposits are non-refundable once equipment has been ordered or project work has begun.
4. Late Payments & Collection Costs
Invoices not paid by the due date are considered past due.
Connect Media Solutions, LLC reserves the right to charge a late fee equal to the greater of Twenty-Five Dollars ($25.00) or one and one-half percent (1.5%) of the outstanding balance per month (18% annually), or the maximum amount permitted by applicable law, beginning fifteen (15) days after the invoice due date.
In addition, Connect Media Solutions, LLC reserves the right to:
- Suspend or terminate services for non-payment.
- Suspend website hosting, email hosting, cloud services, or managed services until the account is paid in full.
- Refuse future rentals or service appointments.
- Require payment in advance for future work.
- Recover all reasonable collection costs, court costs, attorney’s fees, and collection agency fees incurred in collecting unpaid balances, where permitted by law.
Customers are responsible for all balances due regardless of any dispute unless otherwise agreed in writing.
Any payment received may be applied first to outstanding late fees, collection costs, accrued interest, and then to the principal balance.
Returned payments, including checks or electronic payments rejected by a financial institution, are subject to a $35.00 returned payment fee.
5. Audio Visual Equipment Rentals
Rental equipment remains the sole property of Connect Media Solutions, LLC.
Customer assumes full responsibility for all rented equipment from pickup or delivery until returned and accepted by CMS.
Customer agrees to:
Protect equipment from damage
Prevent theft
Use equipment only as intended
Return equipment on time
Not modify equipment
Not sublease equipment
Equipment Damage
Customer is responsible for repair or replacement costs for equipment that is:
Lost
Stolen
Damaged
Destroyed
Misused
Repair or replacement cost shall be determined by the current replacement value plus any labor required to restore service.
Late Returns
Equipment not returned by the agreed return date may incur additional daily rental charges until returned.
Equipment not returned within thirty (30) days may be considered permanently lost and billed at full replacement value.
Equipment Condition
Equipment shall be returned in the same condition it was received, excluding normal wear and tear.
Cleaning fees may be charged if equipment is returned excessively dirty.
Event Liability
CMS is not responsible for:
Event interruptions
Power failures
Weather
Acts of God
Venue issues
Customer misuse
Third-party equipment failures
Customer should test all equipment before the event begins.
6. Audio Visual Installation Services
Customer is responsible for providing:
Safe work environment
Electrical power
Internet connectivity if required
Access to work areas
Installation schedules may change due to:
Material delays
Weather
Customer-requested changes
Site conditions
CMS is not responsible for delays outside our control.
7. Managed IT Services
Managed Services are provided on a best-effort basis unless otherwise defined by a signed Service Level Agreement (SLA).
Customer agrees to:
Maintain licensed software
Maintain supported operating systems
Allow remote monitoring software to remain installed
Maintain administrator access where applicable
Follow reasonable cybersecurity recommendations
CMS reserves the right to refuse support for unsupported hardware or software.
Cybersecurity
While CMS implements industry best practices, no security solution can guarantee complete protection from:
Malware
Ransomware
Data breaches
Zero-day exploits
Human error
Customer remains responsible for maintaining cyber insurance where appropriate.
Backups
Unless specifically included in the customer’s agreement:
CMS does not guarantee backups.
Customer is responsible for verifying backup integrity.
Where CMS manages backups, restoration success cannot be guaranteed due to factors beyond our control.
Third-Party Services
CMS is not responsible for outages caused by:
Internet providers
Microsoft
Google
Cloud vendors
Hardware manufacturers
Utility companies
8. Emergency Services
Emergency or after-hours support may be billed at premium rates.
Premium rates apply outside normal business hours unless covered under a managed service agreement.
9. Website Hosting
Hosting services begin once payment has been received.
Hosting accounts remain active while invoices remain current.
Acceptable Use
Customers may not use CMS hosting for:
Spam
Malware
Illegal content
Copyright infringement
Phishing
Cryptocurrency mining
Resource abuse
Illegal file sharing
CMS reserves the right to immediately suspend services violating these policies.
Resource Usage
Hosting accounts may be limited by:
CPU usage
Memory
Storage
Bandwidth
Email limits
Customers exceeding reasonable resource usage may be required to upgrade hosting plans.
Backups
CMS performs routine server backups when available.
Backups are provided as a courtesy and are not guaranteed.
Customers remain responsible for maintaining independent backups of all website data.
Uptime
CMS strives for high availability but does not guarantee uninterrupted service.
Scheduled maintenance, hardware failures, software updates, internet outages, cyberattacks, or circumstances beyond our control may result in downtime.
Domain Names
Customer is responsible for renewing domain registrations unless CMS has agreed in writing to manage renewals.
Failure to renew a domain may result in permanent loss of ownership.
Website Content
Customer retains ownership of website content they provide.
CMS retains ownership of proprietary software, templates, and custom tools unless otherwise agreed.
Website Suspension
Hosting services may be suspended for:
Non-payment
Abuse
Illegal activity
Security threats
Violations of these Terms
Suspension does not relieve Customer of payment obligations.
10. Data Loss
CMS shall not be liable for:
Lost files
Lost emails
Database corruption
Website corruption
Hardware failures
Backup failures
Customer deletion of data
Customers are encouraged to maintain independent backups.
11. Limitation of Liability
To the fullest extent permitted by law, CMS shall not be liable for:
Lost profits
Lost business
Lost revenue
Indirect damages
Incidental damages
Consequential damages
Special damages
CMS’s total liability shall not exceed the amount paid by Customer for the specific service giving rise to the claim.
12. Warranty
Unless specifically stated in writing, all products and services are provided “AS IS.”
Manufacturer warranties apply to equipment sold.
CMS does not guarantee uninterrupted operation of hardware, software, internet services, or hosted services.
13. Customer Responsibilities
Customer agrees to:
Provide accurate information
Maintain current contact information
Pay invoices on time
Maintain legal software licenses
Secure login credentials
Report problems promptly
14. Service Suspension
CMS may suspend or terminate services without notice for:
Non-payment
Fraud
Abuse
Illegal activity
Threats toward staff
Violation of these Terms
Suspension does not waive amounts owed.
15. Cancellation
Managed Services require written notice of cancellation in accordance with the signed service agreement.
Hosting services may be canceled with thirty (30) days written notice.
Rental cancellations may be subject to cancellation fees depending on how close the cancellation occurs to the event date.
16. Force Majeure
CMS shall not be liable for delays caused by:
Weather
Natural disasters
Government actions
Labor shortages
Supply chain disruptions
Internet outages
Utility failures
Cyberattacks
Acts of God
17. Governing Law
These Terms shall be governed by the laws of the State of Oklahoma.
Venue for any legal action shall be in Garfield County, Oklahoma, unless otherwise required by law.
18. Severability
If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.
19. Changes to Terms
CMS reserves the right to update these Terms and Conditions at any time.
Updated Terms become effective upon publication on our website.
Continued use of our services constitutes acceptance of any revisions.

By purchasing products, renting equipment, approving estimates, signing proposals, paying invoices, or using any services provided by Connect Media Solutions, LLC, the Customer acknowledges that they have read, understood, and agree to these Terms and Conditions.
